1. General

LIFTHIUM ENERGY, S.A., with registered office at The Tower, Rua do Silval, 37, 2nd floor, 2780-3073 Oeiras, Portugal, registered in the commercial register under number 517 544768 (is the exclusive owner of the website www.lifthiumenergy.com (hereinafter ‘Website’) which provides corporate information.

For the purposes of these Website Terms and Conditions of Use (‘Terms’), ‘Lifthium’ or ‘We’, ‘Us’, ‘Our’ shall refer collectively to Lifthium Energy, S.A. and any of its direct or indirect subsidiaries, affiliated entities or successors, including, without limitation:

- Lifthium Capital Sarl, a company incorporated in Luxembourg,

- Lifthium Energy Cantabria, S.A., a company incorporated in Spain,

- Lift One, S.A., a company incorporated in Portugal, and

- Lift One Capital SGPS, S.A., a company incorporated in Portugal.

For the purposes of this Policy, ‘user’ includes any person accessing, browsing or otherwise using our websites or any Lifthium online services.

2. Acceptance of Terms and Conditions of Use

By using the Website, you acknowledge and agree to the Terms. Lifthium may change the Terms and Conditions, Privacy Policy and Cookie Policy by posting updated versions on the Website and, by using the Website, you are deemed to have accepted the versions available at that time.

3. Website Use

3.1 The User agrees that he or she will only use the Website for lawful purposes and the User will not:

· Use the Website to send or make available any illegal, false, misleading, threatening, malicious, abusive, defamatory, libelous, invasive of privacy content or any content that is racially, ethically or morally objectionable, harmful or harmful to the dignity of the person or harmful to minors, or content that may negatively affect Lifthium’s image;

· Use the Website to send or make available information or content belonging to third parties that the User does not have the right to use, such as content protected by copyright of third parties or content containing personal data of third parties;

4.1 The content available on the Website (hereinafter "Content") is the exclusive property of Lifthium, its licensors and/or other holders of rights and is protected by intellectual property rights, under the Portuguese law, the European Union and international conventions and may not be used by the User if not under the conditions laid down in these Terms and Conditions.

4.2 The Website Content means any intellectual creation and information provided in it, in particular texts, pictures, drawings, illustrations, photographs, video clips, trademarks, logos, webdesign and software, as well as the Website itself as a media creation.

4.3 The User may not copy, reproduce, modify, distribute or make any use of the Content without the express written authorisation of Lifthium.

4.4 The partial reproduction of the Content of the Website in the scope of the free uses allowed by law, particularly for purposes of citation, for personal, associative and professional purposes (expressly excluding the use for commercial purposes or advertising) is permitted under the following conditions: (i) gratuity of disclosure; (ii) respect for the integrity of the Content; and (iii) identification of the Website as a source and reference to the fact that the rights are reserved.

5.1 By submitting any content (including ideas, suggestions, comments or other materials) to the Website or directly to Lifthium through any online form, the User represents and warrants that:

- The User has the right to submit such content;

- The content does not infringe the intellectual property or privacy rights of any third party;

- The content is not confidential or subject to any third party confidentiality obligations.

5.2 Unless otherwise stated, the User grants Lifthium a worldwide, royalty-free, non-exclusive, irrevocable, sub-licensable and transferable license to use, reproduce, distribute, display, perform, adapt and create derivative works from such content for any lawful purpose, including the development of products or services.

6. Hyperlinks

6.1 The links to other websites that eventually exist on the Website, do not imply that there is some kind of relationship, collaboration or dependency between Lifthium and those responsible for these websites, thus, Lifthium does not take responsibility for any aspect relating to those websites, namely contents, products or services.

6.2 Creating links to the Content of the Website is only permitted to the extent that (i) the websites do not contain information, content or material of an illegal, illicit, obscene, degrading nature and, in general, contrary to moral and good practice, and the public order or that violates the rights of third parties; (ii) the deep linking method is not used, i.e. the pages of the Website should be accessible by opening a new window; and (iii) there is no susceptibility to any risk of confusion or association of the Website with the website that performs such link.

6.3 Lifthium reserves the right to prohibit, at any time, any link to the Website and, when required, the User will be solicited to immediately modify or remove any link or Content owned by Lifthium.

7.1 Lifthium aims to keep the timeliness and accuracy of the information presented and to minimise the inconvenience caused by any possible technical errors. 10. Clarifications and Information

10.1 In order to clarify any issue related to these Terms and Conditions, the User should contact Lifthium by letter sent to the address indicated in the header or by email to geral@lifthiumenergy.com.

10.2 If the User sends Lifthium information of any kind through the Website, he/she hereby represents and warrants to be entitled to do so and warrants that the aforementioned information does not infringe copyright, trademark, patent or any other intellectual property right of a third party, it does not have confidential character and is without prejudice to third parties.

10.3 The User authorises Lifthium to use any ideas, suggestions, texts, concepts, techniques or know-how, resulting from the User's communication through the Website, and regardless of their purpose, including the development, production and marketing of products based on this information.

11. Electronic signature

11.1 Where functionality is available on the Website, you agree that any agreement, consent or communication provided through electronic means (including, without limitation, checkboxes, ‘clickwra ’p agreements or documents electronically signed through DocuSign, Adobe Sign or similar platforms) shall be deemed valid and binding to the fullest extent permitted by applicable law.

11.2 Electronic signatures shall have the same effect and enforceability as a handwritten signature. 12. Final Provisions

12.1 If, for any reason, any provision of these Terms and Conditions is declared partially or wholly invalid or unenforceable, it shall be deleted or, if possible, maintained after excluding the defective section, without prejudice to the effect of the remaining clauses.

12.2 These terms and conditions shall be governed by Portuguese law.

12.3 All disputes arising out of or in connection with these Terms and Conditions shall be subject to the jurisdiction of the courts of Lisbon, Portugal.

12.4 Where any Lifthium entity operates or offers services under a separate local domain or trade register, references to Portuguese law and jurisdiction in these Terms shall not limit such entity's right to enforce contractual terms or avail itself of legal remedies under local law, to the extent that mandatory local law applies or supersedes these Terms.
